SVP Deputy General Counsel - Compliance/Ethics

About The Position

The Deputy General Counsel is part of the enterprise level legal strategy team for Capital Credit. This role would assist in overseeing corporate governance, regulatory engagement, standards of conduct, litigation, contracts, and strategic initiatives. This role serves as a key advisor to executive leadership and the Board, drives legal risk management, and reduces reliance on outside counsel. The Deputy GC ensures compliance, supports enterprise transactions, and develops long term succession depth within the Legal department.

Requirements

  • Minimum 10 years of legal experience, with significant in-house or corporate counsel experience.
  • Experience as General Counsel or senior in-house counsel strongly preferred along with demonstrated expertise in corporate governance, regulatory compliance, ethics, contracts, and financial services law.
  • Executive presence and strong communication skills.
  • Strategic judgment and ability to provide actionable advice to leadership.
  • Deep understanding of governance, risk management, and regulatory frameworks.
  • High integrity, discretion, and professional ethics.
  • Leadership and mentoring skills to develop team members.
  • Analytical thinking and problem-solving capabilities.

Responsibilities

  • Advise executive leadership and the Board on corporate governance, policy, and compliance matters.
  • Oversee, draft, and negotiate corporate contracts and enterprise agreements.
  • Manage litigation strategy, coordinate outside counsel, and monitor legal risk.
  • Lead regulatory engagement, compliance collaboration, and policy development.
  • Provide guidance on HR matters, standards of conduct, and internal policies.
  • Oversee legal strategy for distressed credit resolution and complex transactions.
  • Support strategic transactions and enterprise-level initiatives.
  • Develop succession planning and depth within the Legal department.
  • Monitor evolving legal and regulatory requirements to anticipate business impact.
