About The Position

This is a new regular part-time professor position in the Civil Law Section at the University of Ottawa for the 2027 Winter Semester. The course, DRC4590 Section BB00, is titled 'Droit de l’entreprise II: La société par actions' and will be taught in French at Fauteux Hall. The course has an expected enrolment of 80 students and is worth 3 credits, requiring 39 work hours. The hourly teaching rate for 2024-2025 is $239.47, with retro pay after collective agreement ratification. The course schedule is Tuesday from 19:00 to 22:00. Requirements

  • Expertise in the legal framework of the share company in Quebec.
  • Knowledge of constitution and organization of share companies.
  • Understanding of legal personality: limits and third-party protection.
  • Knowledge of the notion of shares and rights attached to shares.
  • Expertise in the structure and maintenance of share capital.
  • Familiarity with corporate finance.
  • Ability to contrast between private companies and reporting issuers.
  • Knowledge of the role, duties, and responsibilities of directors and officers.
  • Understanding of the role of shareholders and their powers of intervention and oversight.
  • Knowledge of voluntary dissolution.
  • Expertise in oblique and abuse redress actions.
  • Understanding of the imputation of civil and criminal liability to the share company.
  • Knowledge of corporate governance standards and socially responsible management.
  • Passive competence in a second language (English, given French is the language of instruction).
  • An acceptable level of education and/or experience equivalent to the educational required and/or demonstrated experience.
