About The Position

LogicMonitor is seeking a Commercial Counsel to join their team. This role will focus on accelerating the company's growth by providing practical judgment, leveraging AI-enabled legal operations, and fostering cross-functional collaboration to efficiently scale the business. The Commercial Counsel will deliver commercial agility, operational efficiency, and compliance integrity through automation, structured knowledge, and deep client partnership. The role involves mitigating risk in pursuit of balanced, sustainable growth while upholding LogicMonitor's values of trust, innovation, and ownership. This position is open to candidates based in New York and offers a hybrid work environment.

Requirements

  • J.D. from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction.
  • 6+ years of relevant legal experience in a leading law firm and/or in-house legal department, with substantial experience in commercial transactions for B2B SaaS, software, technology, or data-driven businesses.
  • Significant experience drafting, negotiating, and advising on SaaS, services, vendor/procurement, partnership, and data-processing agreements.
  • Experience partnering cross-functionally with Sales, Procurement, Product, Security, and business stakeholders in a fast-paced environment.
  • Familiarity with privacy, AI, and security issues that arise in commercial contracting and product counseling, including issue spotting, risk assessment, and escalation.
  • Experience building or improving templates, playbooks, workflows, and legal operations processes; experience with CLM and workflow tools preferred.
  • AI tools experience in legal practice preferred.

Responsibilities

  • Lead the negotiation and review of a broad range of commercial agreements, including SaaS, services, procurement, and technology partnership contracts, supporting LogicMonitor’s LM Envision platform and ecosystem.
  • Conduct vendor and customer negotiations via calls and virtual meetings, communicating LM’s position with clarity and professionalism while fostering long-term business relationships.
  • Act as a trusted advisor to LM’s Sales and Procurement Teams, delivering crisp, outcome-oriented legal advice that balances customer experience, revenue velocity, and risk mitigation.
  • Build, refine, and apply AI-enabled workflows, playbooks, and automation tools that accelerate contract drafting, review, and redlining—while maintaining strong privacy, security, and IP safeguards.
  • Continuously improve inbound and outbound contracting workflows, identifying bottlenecks, automating repeat tasks, and embedding structured knowledge so the Legal Team can deliver faster, more consistent outcomes across the business.
  • Share insights and learnings from commercial negotiations to improve team templates, training, and AI models, ensuring collective knowledge compounds across LM’s global Legal function.
  • Provide prompt, business-savvy legal advice to cross-functional stakeholders to translate complex legal issues into clear, actionable guidance.
  • Provide risk-based legal guidance on legal issues related to IP, AI, OSS, TOS, and user-generated content to product and engineering teams through the product development lifecycle.
  • Collaborate on the design and rollout of new procedures that simplify workflows, improve turnaround times, and increase transparency while maintaining strict compliance standards.
  • Partner with various Teams to evolve and scale all of LM’s Playbooks, embedding automation, AI-assisted review, and risk-tiering frameworks to deliver faster and more consistent contracting outcomes across the enterprise.
  • Ensure LM’s procurement contracting practices align with FedRAMP, ESG, and other regulatory or corporate governance requirements, integrating compliance checkpoints into automated workflows wherever possible.
  • Lead the development and governance of various enterprise legal policies, ensuring alignment with corporate governance standards, Board expectations, and emerging regulatory frameworks.
  • Use and optimize LM’s technology stack—including Zip, Salesforce, Jira, ContractPodAI, Brightflag, and Slack—to deliver measurable improvements in efficiency, visibility, and collaboration across Legal and its business partners.
  • Collaborate with senior legal counsel on internal investigations, audits, and event management, ensuring issues are handled promptly, fairly, and in alignment with LM’s values and regulatory obligations.
  • Serve as a knowledge management resource and SME for teams with IC compliance; advise on PEO or EOR use, escalating and advising executive stakeholders and CLO with risk assessment and location recommendations for use of independent contractors.
  • Translate complex regulatory requirements into clear, actionable processes that align with LM’s business objectives. Leverage automation, AI-enabled monitoring, and structured workflows to operationalize compliance across teams.
  • Assist in drafting, implementing, and maintaining global legal policies and procedures that promote accountability, consistency, and clarity across all LM operations.
  • Partner with the Security team to evaluate and refine LM’s compliance posture, identifying opportunities to automate repetitive checks, address compliance risks with a risk-based approach, reduce manual overhead, and build measurable trust into everyday operations.
  • Help scale compliance knowledge within the Legal Team and business units by creating guidance materials, contributing to training, and fostering awareness of evolving regulatory landscapes.
  • Serve as the primary point of contact for procurement privacy decisions DPA and AI terms; intake questions from procurement.
  • Decide if a DPA is needed.
  • Respond to initial privacy questions from procurement.
  • Decide if AI terms are needed.
  • Review vendors for privacy concerns prior to DPO escalation.
  • Collaborate with DPO on privacy terms and workflows (i.e., how does this work with procurement / sales and will it make sense?).
  • Serve on the AI governance committee.
  • Serve as a resource on global AI, data privacy, and security laws, including the EU AI Act, GDPR, CCPA/CPRA, and other relevant regulations.
  • Assist DPO with DPA drafting.
  • Collaborate with DPO and Security Team on ISO 42001 implementation.
  • Screen and isolate issues with Vendor AI use cases and coordinate with DPO with respect to that AI technology.
  • Communicate with internal stakeholders compliance obligations related to conditional approvals and changes in privacy posture.
  • Facilitate cross-functional legal and privacy reviews for high-risk sales contracts, specifically managing compliance workflows for customers with operations in restricted or highly regulated jurisdictions such as Mainland China, Hong Kong, and Russia.
  • Maintain practical guidance on data classification, retention, incident response, AI model governance, and third-party risk.
  • Collaborate with DPO on strategic procurement privacy AI decisions related to: (i) risk tolerance with respect to privacy concerns with new AI vendors; (ii) which AI vendors need additional consideration as to terms; (iii) whether we can accept vendor AI terms or must use LogicMonitor’s.
  • Assist DPO with tracking regulatory changes and translating them into actionable updates, enablement with internal teams, training, and system configurations across workflows.
  • Be a force multiplier for the business: Partner with the business to scope Legal issues quickly, align on risk tolerances, and keep deals, launches, and the business moving forward without surprises.
  • Close the loop: Operate a feedback pathway from frontline negotiations back into templates, playbooks, and AI models to continuously improve quality and speed.
  • Tackle priority matters for senior legal leadership (e.g., complex/strategic deals, new go-to-market motions, policy rollouts, vendor/data governance initiatives, or M&A diligence/integration as needed).
  • Serve as a strategic advisor to business leadership on emerging legal, regulatory, and operational risks, including AI governance, data privacy, and international expansion.
