Requirements

  • JD Degree and TX Bar Admission.
  • Minimum 5 years of experience as a transactional attorney.
  • Proficient with Microsoft Office Suite.
  • Excellent verbal and written communication skills.
  • Excellent interpersonal and customer service skills.
  • Excellent organizational skills and attention to detail.
  • Excellent time management skills with a proven ability to meet deadlines.
  • Ability to manage multiple cases simultaneously and handle extensive documentation.
  • Ability to prioritize tasks.
  • Ability to function well in a high-paced and, at times, stressful environment.
  • Adhere to professional ethics, including maintaining Attorney-Client privileges and confidentiality.

Responsibilities

  • Conduct legal research using both Westlaw and Firm resources.
  • Summarize legal research and present to clients when appropriate.
  • Complete the Firm’s entity formation checklist for each entity.
  • Work with Legal Assistant to prepare entity formation documents including Certificates of Formation, Company Agreements, Minutes, etc., and review before presenting to clients.
  • Explain complex entity structures to clients.
  • Review and approve Comptroller filings.
  • Support the Senior Associates and Partners in complex Mergers and Acquisitions.
  • Manage small Mergers and Acquisitions.
  • Draft and manage due diligence.
  • Draft acquisition documents including Letters of Intent, Asset Purchase Agreement, Stock Purchase Agreements, and Membership Interest Agreements.
  • Draft Promissory Notes and calculate payment schedules.
  • Draft Security Agreements and UCC statements if appropriate.
  • Draft leases favoring the client, whether landlord or tenant.
  • Review and revise client-provided leases favoring the client.
  • Draft real estate purchasing documents.
  • Review and understand Title Insurance Commitments.
  • Draft objections to Title Insurance Commitments.
  • Draft deeds for transfer of property.
  • Draft development documents.
  • Manage small real estate transactions.
  • Draft various Contracts favoring client
  • Review and revise client-provided contracts
  • Draft employment hiring and termination documents.
  • Respond to Texas Workforce Commission filings.
  • Draft employee handbooks.
  • Negotiate severance agreements and employment contracts.
  • Advise clients on best employment practices.
  • Respond to administrative investigations (e.g., EEOC and DOL).
  • Advise HOA’s on legal questions
  • Draft HOA documents
  • Draft form Violation and Collection Letters
  • Attend and actively participate in weekly team and transactional meetings.
  • Meet with prospective clients and maintain a strong closing rate for firm-appropriate matters.
  • Maintain and update transactional task list throughout the week.
  • Record daily time entries accurately and consistently, billing a minimum average of 110 hours per month over each six-month period.
  • Respond to client and firm communications, including calls and emails, within four hours.
  • Collaborate with your supervisor to establish and review specific goals and priorities every six months.
