Position Overview: We are seeking an experienced Senior Corporate Paralegal to join our legal team. The ideal candidate will have a strong background in corporate governance, entity management, and transactional support, ensuring compliance and efficiency in our corporate legal matters.
Requirements
- Bachelor's degree in Legal Studies, Business Administration or a related field from an accredited college or university.
- ABA paralegal certification or equivalent practical experience.
- Minimum of 7 years of experience as a corporate paralegal, preferably in a corporate legal department or large law firm, performing sophisticated work.
- Extensive knowledge of corporate governance principles, laws, and regulations.
- Familiarity with federal, state and local forms and filing procedures.

- Ability to work independently and handle multiple tasks simultaneously.
- Proficiency in Microsoft Office Suite and legal research databases.
- Excellent written and verbal communication skills, including a clear and concise drafting style.
Responsibilities
- Maintain and organize corporate records, governance documents, and minute books for the parent company and its subsidiaries.
- Prepare and file necessary documents for the formation, maintenance, and dissolution of entities across multiple jurisdictions.
- Ensure compliance with federal, state, and local regulations, including timely filing of annual reports and other required documentation.
- Organize and maintain hard copy and web-based subsidiary database and respond to related requests for information and data.
- Assist attorneys in drafting and reviewing legal documents related to mergers, acquisitions, and other corporate transactions.
- Coordinate due diligence processes, including the organization and management of virtual data rooms.
- Prepare closing checklists, coordinate the execution of documents, and manage post-closing activities.
- Organize and maintain hard copy and web-based legal contracts database and respond to related requests for information and data.
- Monitor changes in laws and regulations affecting the company's operations and advise on necessary actions.
- Assist in the preparation and filing of regulatory documents, and other compliance-related submissions.
- Liaise with internal departments, external counsel, and regulatory bodies to ensure seamless management of corporate legal matters.
- Provide guidance and support to various business units on corporate legal issues and compliance matters.
- Provide general and as-needed support to the legal operations function, including processing of invoices and budgeting support.
Benefits
- The annual compensation range for this full-time position is $100,000 to $130,000.
