Legal Specialist - Complex Business Structures

Texas Capital Bank•Dallas, TX

About The Position

Texas Capital is seeking a governance and documentation specialist for its legal department. The role supports a relationship-level operating model for onboarding complex client business structures and managing authority on an ongoing basis, with an emphasis on commercial real estate, energy fund sponsors, private wealth, and treasury services. The specialist reviews governing documents to confirm control and authority, maintains accurate systems of record, flags risks and exceptions, and coordinates with legal, compliance, operations, treasury, and credit teams. The position also contributes to more consistent documentation practices and client support while helping eliminate redundant processes without compromising legal requirements. The role involves working with nested and multi-level entities, real estate- and infrastructure-specific investment structures, investment funds and sponsors, family office and wealth management structures, and private equity structures. The successful candidate is practical, resourceful, dependable, communicative, attentive to detail, and comfortable working across teams in a fast-paced, client-focused environment. The position requires the ability to work at a computer for extended periods.
