About The Position

A highly respected national law firm is seeking an Executive Compensation & Employee Benefits Associate Attorney to join its Chicago office. This opportunity is ideal for an attorney interested in advising public and private companies, private equity sponsors, boards of directors, and executives on sophisticated executive compensation, employee benefits, and transactional matters.

Requirements

  • 3+ years of executive compensation, employee benefits, ERISA, tax, or corporate transactional experience gained at a sophisticated law firm
  • Experience advising clients regarding executive compensation arrangements, equity incentive plans, deferred compensation, employment agreements, severance agreements, and change-in-control benefits
  • Experience supporting the employee benefits and executive compensation aspects of mergers & acquisitions, private equity transactions, and other corporate transactions
  • Experience reviewing and advising on qualified and nonqualified retirement plans, health and welfare plans, and ERISA compliance
  • Experience drafting and negotiating equity award agreements, incentive compensation plans, employment agreements, and transactional benefits provisions
  • Strong drafting, analytical, organizational, and communication skills
  • Ability to independently manage sophisticated matters while maintaining significant client interaction
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Illinois bar admission required or ability to become admitted

Nice To Haves

  • Experience counseling clients regarding Internal Revenue Code Sections 409A, 280G, 162(m), and related executive compensation matters is preferred
