About The Position

The Corporate Paralegal provides comprehensive legal and administrative support to the legal department. This position assists with corporate governance, mergers and acquisitions, legal compliance and risk management initiatives, litigation management (with a primary focus on labor & employment matters), and other legal matters affecting the company. The Corporate Paralegal serves as a key partner to internal business teams and external legal counsel to ensure efficient legal operations and compliance with applicable laws and regulations.

Requirements

  • Bachelor’s degree or Paralegal Certificate from an accredited institution preferred.
  • Minimum of 3 years of corporate paralegal experience, preferably in an in-house legal department.
  • Experience supporting corporate governance, commercial contracting, compliance, and M&A activities.
  • Strong knowledge of corporate governance practices.
  • Familiarity with labor & employment law.
  • Familiarity with mergers and acquisitions transactions and due diligence activities.
  • Understanding of corporate compliance programs and regulatory requirements.
  • Excellent organizational, analytical, and project management skills.
  • Ability to prioritize multiple projects and meet deadlines in a fast-paced environment.
  • Strong written and verbal communication skills.
  • Proficiency with Microsoft Office, contract lifecycle management systems, and legal matter management software.
  • Ability to maintain strict confidentiality and exercise sound judgment.

Responsibilities

  • Maintain corporate records, minute books, organizational documents, and legal entity records.
  • Assist with the preparation and coordination of Board of Directors and committee meetings, including agendas, resolutions, minutes, and supporting materials.
  • Manage annual corporate filings, business licenses, registrations, and other entity maintenance requirements.
  • Coordinate the formation, dissolution, and qualification of legal entities in various jurisdictions.
  • Assist with the development, administration, and maintenance of ethical and legal compliance programs and policies.
  • Monitor regulatory filings, compliance requirements, and federal, state, and local law developments.
  • Maintain compliance records and reporting documentation.
  • Assist with updates to and implementation of regular legal compliance training.
  • Support acquisitions, divestitures, and integration activities.
  • Coordinate due diligence requests and organize virtual data rooms.
  • Review and summarize corporate records during transaction processes.
  • Assist with post-closing integration activities, entity consolidation, and legal documentation management.
  • Assist with litigation management, including monitoring service of process, ongoing matter activity, and pending deadlines; implement and track litigation hold processes; open and maintain case files in a case management database.
  • Manage document and data collection and coordinate discovery responses; facilitate and prepare responsive submissions to subpoenas and other requests for employment records, discovery requests, and audits.
  • Serve as liaison with outside counsel on routine legal matters as directed.
  • Maintain legal department budgets, invoices, and outside counsel billing records.
  • Develop and maintain legal department procedures, templates, and workflows.
  • Conduct legal and factual research on a variety of matters.
  • Prepare correspondence, reports, summaries, and presentations for the General Counsel and executive leadership.
  • Support special projects and strategic initiatives as assigned.
  • Perform administrative tasks in support of General Counsel, Associate General Counsel, and Vice President, Risk Management as requested.
