We are seeking an experienced Corporate Paralegal to join our growing legal team during an exciting stage of the company's growth. As a rapidly scaling Series C company, you'll play a key role in building the legal infrastructure that supports our continued expansion. You'll own critical aspects of corporate governance, equity administration, and legal operations while partnering closely with Finance, HR, Tax, and executive leadership to help prepare the company for future financing activities and a potential path to the public markets.

Requirements

  • 4+ years of experience as a Corporate Paralegal or in a similar in-house corporate legal role.
  • Paralegal certificate or Bachelor's degree.
  • Hands-on experience administering cap tables and equity compensation programs using Carta.
  • Experience supporting corporate governance, board processes, and legal entity management.
  • Exceptional attention to detail with outstanding organizational and project management skills.
  • High ethical standards and the ability to handle highly confidential information with discretion.
  • Self-motivated, proactive, and comfortable managing multiple priorities in a fast-paced, high-growth environment.

Nice To Haves

  • Prior in-house experience at a venture-backed or high-growth technology company.
  • Experience supporting Series A through Series D financing transactions.
  • Familiarity with contract lifecycle management (CLM) systems.
  • Experience supporting companies preparing for IPO readiness or public company governance.
  • Active Notary Public commission is a plus.

Responsibilities

  • Administer and maintain the company's cap table in Carta, including equity issuances, exercises, transfers, cancellations, option grants, restricted stock awards, and secondary transactions.
  • Prepare board and stockholder consents, board minutes, officer certificates, and other corporate governance documents.
  • Partner with Finance and HR on equity reporting, 409A valuations, employee equity communications, and related compliance activities.
  • Maintain corporate records, organizational charts, capitalization summaries, subsidiary structures, and legal entity documentation.
  • Manage entity formations, annual filings, registered agent relationships, business licenses, and other corporate compliance requirements across multiple jurisdictions.
  • Support venture financing transactions by preparing closing documents, coordinating due diligence requests, managing investor materials, and assisting with KYC documentation.
  • Maintain legal records and document repositories in SharePoint and other legal systems, ensuring documentation remains organized, accurate, and audit-ready.
  • Manage contract workflows, including maintaining templates, coordinating DocuSign requests, and supporting NDAs, licenses, and other standard commercial agreements.
  • Identify opportunities to improve legal processes, documentation, and operational workflows as the company continues to scale.
  • Partner cross-functionally with Finance, Tax, HR, and external counsel to support ongoing governance, compliance, notarizations, and apostille requests.
