Corporate Counsel II - M&A

This position will provide guidance and consultation on a variety of legal matters including, but not limited to merger and acquisition transactions, contract negotiations, and general corporate governance. Requirements
- Juris Doctor (J.D.)
- Licensed to practice law in at least one state (Colorado preferred)
- 4 or more years of experience in a law firm or in-house legal department
- Experience in mergers & acquisitions law required
- Ability to work effectively with teams and independently, as well as manage and prioritize multiple projects
- Excellent communication, analytical and organizational skills
Nice To Haves
- Financial services experience preferred
- Strong drafting, research and writing skills
- Knowledge of and experience with federal securities law including the Investment Advisor Act of 1940 preferred
Responsibilities
- Reviewing, drafting, structuring, and negotiating agreements in connection with M&A
- Conducting legal M&A due diligence efforts and assisting with firm-wide due diligence efforts
- Collaborating with business partners across the business
- Assisting, communicating with, and overseeing the work of outside counsel
- Researching and advising on relevant legal issues
- Maintaining a current working knowledge of new laws and regulatory developments
- Performing other duties as assigned
