About The Position

Aligned Talent Acquisition is recruiting for an experienced Corporate M&A Associate Attorney opportunity with a leading Am Law 100 firm in Chicago. This is an excellent opportunity for a corporate attorney interested in sophisticated mergers and acquisitions, private equity transactions, strategic investments, and general corporate matters for companies, investors, and business owners across a diverse range of industries.

Requirements

• 2–6 years of corporate transactional experience
• Significant experience with mergers and acquisitions
• J.D. from an ABA-accredited law school required
• Illinois bar admission required or ability to become admitted

Nice To Haves

• Experience representing strategic buyers and sellers, private companies, private equity sponsors, portfolio companies, and other corporate clients
• Experience with stock and asset acquisitions, dispositions, private equity transactions, joint ventures, and strategic investments
• Experience drafting and negotiating purchase agreements, merger agreements, operating agreements, shareholder agreements, and ancillary transaction documents
• Experience conducting and managing legal due diligence
• Ability to coordinate sophisticated transactions from initial diligence through closing
• Experience advising clients on general corporate and governance matters is a plus
• Strong drafting, negotiation, analytical, and problem-solving skills
• Excellent client service and communication skills
• Ability to manage multiple sophisticated transactions in a fast-paced environment

Responsibilities

• Representing strategic buyers and sellers, private companies, private equity sponsors, portfolio companies, and other corporate clients
• Handling stock and asset acquisitions, dispositions, private equity transactions, joint ventures, and strategic investments
• Drafting and negotiating purchase agreements, merger agreements, operating agreements, shareholder agreements, and ancillary transaction documents
• Conducting and managing legal due diligence
• Coordinating sophisticated transactions from initial diligence through closing
• Advising clients on general corporate and governance matters
• Managing multiple sophisticated transactions in a fast-paced environment
