About The Position

This is an excellent opportunity for a corporate associate interested in sophisticated mergers and acquisitions, private equity transactions, and strategic investments for leading companies, sponsors, and investors. The role involves representing private equity sponsors, portfolio companies, strategic buyers, sellers, and other corporate clients in a variety of complex transactions.

Requirements

  • 3–6 years of sophisticated corporate transactional experience
  • Significant experience with mergers and acquisitions and private equity transactions
  • Experience representing private equity sponsors, portfolio companies, strategic buyers, sellers, and other corporate clients
  • Experience with leveraged buyouts, add-on acquisitions, dispositions, strategic investments, joint ventures, and other complex transactions
  • Experience drafting and negotiating purchase agreements, merger agreements, operating agreements, shareholder agreements, and ancillary transaction documents
  • Experience conducting and managing legal due diligence and coordinating complex transaction closings
  • Ability to manage multiple sophisticated transactions in a fast-paced environment
  • Strong drafting, negotiation, analytical, and problem-solving skills
  • Excellent client service and communication skills
  • Strong academic credentials
  • J.D. from an ABA-accredited law school required
  • Illinois bar admission required or ability to become admitted

Responsibilities

  • Handle sophisticated mergers and acquisitions and private equity transactions.
  • Represent private equity sponsors, portfolio companies, strategic buyers, sellers, and other corporate clients.
  • Engage in leveraged buyouts, add-on acquisitions, dispositions, strategic investments, joint ventures, and other complex transactions.
  • Draft and negotiate purchase agreements, merger agreements, operating agreements, shareholder agreements, and ancillary transaction documents.
  • Conduct and manage legal due diligence.
  • Coordinate complex transaction closings.
  • Manage multiple sophisticated transactions in a fast-paced environment.
  • Provide excellent client service and communication.

Benefits

  • Compensation $235,000 – $390,000+
