About The Position

Levenfeld Pearlstein (LP) is seeking a Senior Corporate Associate with 6 to 8 years of sophisticated M&A transactions experience to join their growing and highly collaborative Corporate Practice Group. LP’s Corporate Practice Group represents middle-market companies, private equity funds, family businesses, and entrepreneurs in a wide range of transactional and governance matters. They handle M&A transactions from $10 million to $1 billion across diverse industries, including food & beverage, industrial manufacturing, professional services, and cannabis. Their work encompasses complex acquisitions, divestitures, ESOP transactions, joint ventures, restructurings, complex commercial agreements, private offerings, and general corporate counseling. The practice is known for combining technical excellence with a practical, business-oriented approach, delivering high standards and high care through outstanding legal work and a culture of collaboration, trust, and commitment to client success. LP has a proven track record of helping laterals realize success, offering equitable opportunity to work on diverse substantive matters across different teams within the Corporate group. Associates will work under the leadership of different Partners and directly contribute to the exceptional service clients expect.

Requirements

  • 6 to 8 years of sophisticated M&A transactions experience.
  • Private company mergers and acquisitions experience.
  • Corporate governance experience.
  • Commercial contracts experience.
  • LLC/shareholder agreements experience.
  • Advising middle market companies on various other general corporate matters.
  • Extensive knowledge of private equity.
  • Extensive knowledge of sophisticated M&A transactions.
  • Extensive knowledge of private securities offerings.
  • Strong writing and communication skills.
  • Ability to work collaboratively.
  • Ability to thrive in a fast-paced environment.

Responsibilities

  • Represent middle-market companies, private equity funds, family businesses, and entrepreneurs in a wide range of transactional and governance matters.
  • Handle M&A transactions from $10 million to $1 billion across diverse industries.
  • Manage complex acquisitions, divestitures, ESOP transactions, joint ventures, restructurings, complex commercial agreements, private offerings, and general corporate counseling.
  • Combine technical excellence with a practical, business-oriented approach.
  • Deliver high standards and high care, including outstanding legal work.
