About The Position

Levenfeld Pearlstein (LP) is seeking a Corporate Associate with 3 to 5 years of sophisticated M&A transactions experience to join their growing and highly collaborative Corporate Practice Group. LP’s Corporate Practice Group represents middle-market companies, private equity funds, family businesses, and entrepreneurs in a wide range of transactional and governance matters. They handle M&A transactions from $10 million to $1 billion across diverse industries. Their work includes complex acquisitions, divestitures, ESOP transactions, joint ventures, restructurings, complex commercial agreements, private offerings, and general corporate counseling. The group is known for combining technical excellence with a practical, business-oriented approach, and prides itself on delivering high standards and high care, fostering a culture of collaboration, trust, and commitment to client success. They also regularly publish on topics of interest to their clients.

Requirements

  • 3 to 5 years of sophisticated M&A transactions experience.
  • Experience in private company mergers and acquisitions, corporate governance, commercial contracts, disclosure schedules, LLC/shareholder agreements, and advising middle market companies on various other general corporate matters.
  • Demonstrated ability to coordinate with specialist teams, organize transaction checklists, drive multiple deal workstreams and conduct efficient and thorough due diligence.
  • Strong writing and communication skills.
  • Ability to work collaboratively and thrive in a fast-paced environment.
  • Bright, eager to continue to learn and develop new skills.
  • Self-starter with a strong work ethic and an entrepreneurial approach to practicing law.

Responsibilities

  • Represent middle-market companies, private equity funds, family businesses, and entrepreneurs in a wide range of transactional and governance matters.
  • Handle M&A transactions from $10 million to $1 billion.
  • Manage complex acquisitions, divestitures, ESOP transactions, joint ventures, restructurings, complex commercial agreements, private offerings, and general corporate counseling.
