About The Position

Premier Global Law Firm is seeking a Corporate Associate with 4-6 years of experience to join their Capital Markets & Public Companies group in New York, Los Angeles, or San Francisco. This group advises technology and life sciences companies, from emerging to mature public corporations, on a wide range of matters including public company representation, securities offerings, governance, and capital markets transactions. The ideal candidate is a highly motivated, client-focused professional with strong technical, analytical, and communication skills, capable of advising clients on complex securities law and capital markets issues.

Requirements

4-6 years of experience advising public companies and/or investment banks.
Prior experience with SEC compliance, disclosure, governance, exchange matters, IPOs, SPACs, direct listings, and follow-on offerings.
Juris Doctor (JD) with strong academic credentials.
Admitted to practice in the state of the office for which they are applying or be eligible to sit for or waive into the applicable bar.

Experience with or affinity for technology and/or life sciences companies is preferred.

Responsibilities

Advise public companies on SEC compliance, disclosure obligations, governance matters, and stock exchange requirements.
Represent issuers and investment banks in capital markets transactions, including IPOs, SPAC transactions, direct listings, and follow-on offerings.
Provide legal guidance on securities law compliance and public company reporting requirements.
Assist clients with ongoing corporate governance, disclosure controls, and regulatory matters.
Work closely with management teams, boards of directors, investment bankers, and other advisors on strategic transactions and public company matters.
Advise clients on securities offerings and capital raising transactions.
Assist with registration statements, offering documents, SEC filings, and related disclosure materials.
Provide guidance on exchange listing requirements and public company best practices.
Analyze complex legal and regulatory issues and develop practical solutions for clients.
Collaborate with public company executives, boards of directors, investment banks, and internal legal teams.
Support transaction execution from initial structuring through closing and post-transaction compliance requirements.
Work closely with partners and clients on strategic corporate and capital markets initiatives.
