About The Position

The Business & Finance Paralegal works closely with attorneys on general corporate law practice areas including business formation, growth, succession planning, or sale. This position will have the ability to support counsel on a wide range of business transactions, entity formations, financing, and estate transactions. Some of the key anticipated responsibilities are listed below. Experience in most of the areas shown below. It doesn't need to be all but also needs the right attitude to dig in and become experienced in these areas if they aren't familiar. Business formations Dissolved entities Restructuring entities Tax clearances Sales, mergers, acquisitions Disclosure schedules Due diligence Closing binders Draft bylaws, corporate consent, LLC Operating agreements Meeting minutes Contract administration State filings outside of PA Audit response letters Corporate governance Client facing opportunities Manage document workflows from end to end Experience with software programs: iManage, Docusign, Adobe Pro, Microsoft suite Please note that we champion the development of all roles. Requirements

  • Strong proficiency in Microsoft Office Suite, including Outlook, Word, PowerPoint, and Excel, with the ability to create, edit, and format complex documents and spreadsheets.
  • Strong proficiency in DocuSign and Adobe.
  • High school diploma or equivalent education.
  • Paralegal certificate or related training.
  • Five (5) or more years of Paralegal or related experience.
  • Solid writing and editing skills.
  • Comfort with technology, including learning and adapting to software platforms and other digital tools commonly used in law firms.

Nice To Haves

  • Active Notary.
  • Experience with an electronic document management system like iManage.
  • Experience with a billing and timekeeping software like Aderant.

Responsibilities

  • Support counsel on a wide range of business transactions, entity formations, financing, and estate transactions.
  • Manage document workflows from end to end.
  • Draft bylaws, corporate consent, LLC Operating agreements.
  • Prepare meeting minutes.
  • Handle contract administration.
  • Process state filings outside of PA.
  • Respond to audit letters.
  • Assist with corporate governance matters.
  • Engage in client-facing opportunities.
