About The Position

This specific role is within the Finance department in the New York office, focusing on Capital Markets. The paralegal will work closely with attorneys, drafting offering documents for structured notes offerings, interacting with clients with minimal supervision, and managing timelines to meet client and SEC filing deadlines.

Requirements

  • Bachelor’s degree in a related field.
  • 0-2 years’ experience in the financial markets preferred.
  • Proficiency in Microsoft Office products.
  • Strong written and verbal communication skills, able to communicate effectively and in a professional manner with all levels of the Firm and outside vendors.
  • Ability to work in a diverse team environment and effectively support the demanding needs of the Firm.
  • Ability to work under pressure, meet deadlines with shifting priorities.
  • Must be a self-starter with a high level of initiative.
  • Strong customer service skills, able to anticipate needs.
  • Strong attention to detail, organizational skills and the ability to handle multiple projects.
  • Maintains confidentiality and exercises discretion.
  • Exercises solid strategic thinking and problem-solving skills.
  • Ability to proofread documents for accuracy and consistency.

Responsibilities

  • Drafting high volumes of structured note pricing supplements daily for internal review, client approval, and SEC filing.
  • Assisting attorneys with the closing of securities offerings for companies in the financial, life sciences, and technology sectors.
  • Preparing and filing SEC documentation, including pricing supplements, term sheets, and prospectus supplements.
  • Extensive interaction with Wall Street financial institutions.
  • Preparing drafts of structured note offering documents.
  • Liaising with attorneys regarding the status of offerings and documentation.
  • Assisting in major organizational projects, such as public and private offerings.
  • Preparing and filing DTC Letters of Representation.
  • Preparing and filing CUSIP applications with the CUSIP Service Bureau.
  • Obtaining information and certified filings with Secretaries of State and other state and federal government agencies, including Good Standing Certificates and Charter Documents.
  • Preparing and assisting with the closing of transactions, including the creation of closing files and closing sets of CDs.
  • Maintaining client files in an orderly fashion and in compliance with Firm procedures.
  • Assuming other responsibilities as assigned.
  • Performing other duties as assigned or required to meet Firm goals and objectives.
