About The Position

This specific role is in the Finance department in the New York office, seeking a Paralegal - Capital Markets (Finance). The paralegal will work closely with attorneys, drafting offering documents for structured notes offerings, and is expected to work independently with clients with minimal supervision. A key responsibility is tracking the timing of offerings to ensure client and SEC filing deadlines are met.

Requirements

  • Bachelor’s degree in a related field.
  • 0-2 years’ experience in the financial markets preferred.
  • Proficiency in Microsoft Office products.
  • Strong written and verbal communication skills, able to communicate effectively and in a professional manner with all levels of the Firm and outside vendors.
  • Ability to work in a diverse team environment and effectively support the demanding needs of the Firm.
  • Ability to work under pressure, meet deadlines with shifting priorities.
  • Must be a self-starter with a high level of initiative.
  • Strong customer service skills, able to anticipate needs.
  • Strong attention to detail, organizational skills and the ability to handle multiple projects.

Nice To Haves

  • Paralegal will be trained in SEC filings, coordinating with financial printers and using a Bloomberg Terminal.

Responsibilities

  • Drafting high volumes of structured note pricing supplements daily, for internal review, client approval, and SEC filing.
  • Assisting attorneys with the closing of securities offerings for companies in the financial, life sciences, and technology sectors.
  • Assisting in the preparation and filing of SEC documentation, including pricing supplements, term sheets, and prospectus supplements.
  • Extensive interaction with Wall Street financial institutions.
  • Preparing drafts of structured note offering documents.
  • Liaising with attorneys regarding the status of offerings and documentation.
  • Assisting in major organizational projects, such as public and private offerings.
  • Assisting with necessary SEC filings.
  • Preparing and filing DTC Letters of Representation.
  • Preparing and filing CUSIP applications with the CUSIP Service Bureau.
  • Obtaining information and certified filings with Secretaries of State and other state and federal government agencies, including Good Standing Certificates and Charter Documents.
  • Preparing and assisting with the closing of transactions, including the creation of closing files and closing sets of CDs.
  • Maintaining client files in an orderly fashion and in compliance with Firm procedures.
  • Assuming other responsibilities as assigned.
  • Performing other duties as assigned or required to meet Firm goals and objectives.
