About The Position

This role serves as counsel for an assigned departmental or functional area, or within a defined area of law. With guidance from senior lawyers, the Associate General Counsel Manager provides legal advice and counsel to management and associates on a range of corporate and business issues. They engage with business leaders to understand direction, changes, and objectives, providing advice on potential legal issues or challenges, and enforcing Legal policies and procedures. The role also involves presenting training to internal clients on specified legal topics and collaborating with various departments such as Finance & Accounting, Sales & Sales Excellence, Corporate Operations, Engineering / Product Development, and Marketing & Communications to ensure legal compliance and protection of the company’s interests. The position may also provide service and advice within or across several key areas. This includes supporting governance functions, public filings, entity management, and monitoring legislative and agency activities. A significant part of the role involves assisting with privacy and data regulation, including researching, tracking, and updating related notices, policies, and processes, and advising internal teams on compliance with privacy regulations. Additionally, the role supports the new product development process by participating in reviews for IP policy compliance, developing IP, conducting patent searches and evaluations, and assisting with efforts to evaluate potential third-party infringement of Unisys IP. Furthermore, the Associate General Counsel Manager engages with HR teams and management on employment and labor issues, including recruiting, associate relations, EEO compliance, and contingent worker matters. They support broader organizational policy development and evaluation from an employment law perspective, assist with disputes, internal investigations, and manage administrative matters associated with litigation, including subpoena response and eDiscovery functions. The role also requires maintaining accurate reporting of all in-house litigation, disputes, and related matters. Key responsibilities also include drafting, negotiating, and interpreting commercial contracts, such as those covering software licensing, SaaS, professional services, and online terms and conditions. The role involves partnering with internal business associates to resolve issues in contract negotiations and providing advice on operational legal topics like data strategy and data licensing.

Requirements

  • BA/BS degree
  • US Law Degree
  • 5-7 years’ relevant experience OR equivalent combination of education and experience
  • Public Sector experience required
  • Eligible for any required authorizations from the U.S. Government for access to export-controlled commodities and technology.

  • Monitors legislative and agency pronouncements, publications and activities.
  • Assists in researching, tracking and updating privacy and data regulation related notices, policies, standards, guidelines and processes.
  • Works with internal teams to understand business objectives and address potential privacy issues and considerations.
  • Advises internal teams to ensure compliance with privacy regulations.
  • Assists with development of public policy-related position papers, presentations and other documentation.
  • Participates in new product development process reviews to ascertain compliance with IP policies and methodologies, and to develop IP for the organization.
  • Participates in patent searches and evaluations in support of new product development.
  • Supports efforts to evaluate potential third-party infringement of Unisys IP.
  • Supports senior lawyers in IP disputes and litigation.
  • Participates in trademark searches in support of new marks/rebranding.
  • Engages with HR teams and management to understand and help address a variety of employment and labor issues, including recruiting, hiring, associate relations, equal employment opportunity compliance and issues associated with contingent workers.
  • Supports broader organizational policy development, evaluation and related initiatives from an employment law / legal perspective.
  • Supports efforts to address disputes within designated area of responsibility, working with outside counsel and internal teams.
  • Supports internal investigations and manages administrative matters associated with litigation.
  • Participates in / support subpoena response.
  • Maintains accurate reporting of all in-house litigation, disputes, subpoenas and bankruptcy including upcoming deadlines, matter statuses, opening and closing and each matter submitted to outside counsel, defense matters, and judgements sent to collection.
  • Supports eDiscovery functions for cases.
  • Helps draft, negotiate and interpret commercial contracts.
  • Reviews, advises on and negotiates a variety of commercial contracts, including contracts covering software licensing, SaaS, professional services and online terms and conditions.
  • Partners with internal business associates to develop and execute action plans to resolve issues presented in contract negotiations.
  • Provides advice on operational legal topics, including data strategy and data licensing.
