About The Position

We are sharing a specialised part-time consulting opportunity for experienced Transactions Associates with strong expertise in technology transactions, contract drafting, redlining, negotiation, and legal playbooks to contribute to an advanced legal AI training and evaluation project. Selected professionals will perform simulated contract negotiations, review and assess AI-generated responses to contract scenarios, develop rigorous evaluation criteria, and provide expert legal feedback to improve how advanced AI systems identify risk, interpret contract language, and support technology-transaction workflows.

Requirements

  • J.D. from an ABA-accredited law school
  • Active bar admission in at least one U.S. jurisdiction
  • Minimum 3 years of experience focused on technology transactions
  • Strong experience negotiating MSAs, NDAs, and DPAs
  • Demonstrated expertise in contract drafting, redlining, and negotiation
  • Familiarity with legal playbooks and structured negotiation standards
  • Excellent written and verbal communication skills
  • Meticulous attention to detail and strong analytical judgement
  • Ability to translate legal expertise into clear, actionable feedback
  • Experience working with cross-disciplinary teams in fast-paced environments

Nice To Haves

  • Experience at a corporate law firm is advantageous
  • Prior exposure to AI, legal technology, or training initiatives is beneficial but not required

Responsibilities

  • Review sophisticated technology and commercial agreements
  • Analyse contractual language for legal, operational, and commercial risk
  • Assess provisions for clarity, consistency, and practical enforceability
  • Apply professional judgement to technology-focused transaction scenarios
  • Identify material issues that require negotiation or revision
  • Draft and revise contractual provisions
  • Perform simulated redlining exercises across technology agreements
  • Develop commercially appropriate revisions to contract language
  • Apply negotiation strategy while preserving legal and business objectives
  • Maintain consistency with established contractual positions and playbooks
  • Perform simulated contract negotiations
  • Evaluate counterparty language and proposed revisions
  • Identify key negotiation points and acceptable fallback positions
  • Balance legal risk with commercial objectives
  • Apply practical transaction judgement across different scenarios
  • Apply and interpret contract playbooks
  • Help define objective standards for reviewing AI-generated contract outputs
  • Develop grading criteria for contract-drafting and negotiation tasks
  • Translate legal judgement into clear and repeatable evaluation frameworks
  • Maintain consistency across multiple review scenarios
  • Review AI responses to contract and transaction scenarios
  • Assess outputs for legal accuracy, completeness, and practical usefulness
  • Identify weak reasoning, inappropriate redlines, or missed contractual risks
  • Provide clear and actionable feedback to improve model performance
  • Evaluate whether proposed revisions align with real-world legal practice
  • Collaborate with product, research, and technical teams
  • Refine guidelines and best practices for AI-driven contract-review workflows
  • Communicate legal reasoning clearly to non-legal stakeholders
  • Support iterative improvements to data and evaluation processes
  • Contribute practical transaction expertise to multidisciplinary project work
