About The Position

Transactional Attorney (Entry-Level) The Opportunity: PWR, PLLC seeks a dynamic Transactional Attorney to complement our estate planning, business transactional, and tax advisory practice. We provide legal counsel and documentation services in connection with estate and business succession planning, business formation, organization and restructuring, operations, mergers, sales, and acquisitions. We also represent our clients in federal, state, and local tax planning and structuring to mitigate tax liability and resolve disputes with the IRS and other taxing authorities.

Requirements

  • Juris Doctorate required.
  • Active member in good standing with the Arkansas bar or willingness to obtain such standing.
  • Exceptional legal and tax research skills with the ability to synthesize complex regulatory information into actionable client advice.
  • Located or willing to relocate to Little Rock, Arkansas.
  • Demonstrated interest in transactional law, estate planning, business formation.
  • 0 to 3 years of experience working in a transactional law practice, including an emphasis on estate planning, forming and structuring LLCs, partnerships, corporations, and tiered organizational structures.
  • Excellent contract drafting, and written and verbal communication skills.
  • Self-starter with a strong work ethic and a desire to consistently perform at the highest level.
  • Ability to work in a fast-paced environment with an ability to proactively determine, prioritize and resolve issues.

Nice To Haves

  • Bachelor’s or Masters Degree in Taxation or Accounting, strongly preferred.

Responsibilities

  • Conduct in-depth tax research to analyze complex federal, state, and local tax codes, IRS rulings, and regulations, and apply this research to support wealth preservation strategies, structure entity formations, and build strong positions for tax controversy representation.
  • Draft, review, and revise foundational wealth preservation and estate planning documents tailored to maximize asset value and minimize taxes.
  • Draft real estate agreements, membership interest or stock transfer certificate agreements, purchase and sales agreements, operating agreements, buy-sell agreements, confidentiality agreements, letters of intent, and other related transactional documents.
  • Assist with due diligence for mergers, acquisitions, and financing transactions.
  • Maintain knowledge of the client’s legal documents and operations, including articles of incorporation, bylaws, and all contractual documents binding the company.
  • Engage in client discussions, communications, and outreach as needed.
  • Stay informed on current topics, including industry trends, exploring new ideas, and continually expanding knowledge base.
  • Effectively exhibit communication, listening, and problem-solving skills, including asking questions.
