About The Position

A premier AmLaw 50 firm is seeking a Technology Mergers & Acquisitions Associate Attorney to join its Boston office. This opportunity is ideal for an attorney interested in representing technology companies, venture capital investors, founders, strategic acquirers, and private equity sponsors in sophisticated mergers and acquisitions and strategic corporate transactions.

Requirements

  • 5–7 years of sophisticated mergers and acquisitions experience gained at a national or international law firm
  • Significant experience representing technology companies, from emerging growth startups to mature public companies, in complex corporate transactions
  • Experience representing venture capital funds, growth equity investors, founders, and strategic buyers in acquisitions, divestitures, and other strategic transactions
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Massachusetts bar admission required or ability to become admitted

  • Experience managing legal due diligence, coordinating transaction closings, and leading significant portions of sophisticated M&A transactions
  • Ability to independently manage complex transactions while collaborating effectively with multidisciplinary deal teams
  • Strong business judgment, drafting, negotiation, analytical, and client counseling skills
  • Experience building and maintaining strong relationships with clients, opposing counsel, and internal stakeholders

Responsibilities

  • Representing technology companies, venture capital investors, founders, strategic acquirers, and private equity sponsors in sophisticated mergers and acquisitions and strategic corporate transactions.
  • Drafting and negotiating merger agreements, stock and asset purchase agreements, disclosure schedules, transaction documents, and ancillary agreements.
  • Managing legal due diligence.
  • Coordinating transaction closings.
  • Leading significant portions of sophisticated M&A transactions.
  • Independently managing complex transactions while collaborating effectively with multidisciplinary deal teams.
  • Building and maintaining strong relationships with clients, opposing counsel, and internal stakeholders.
