About The Position

A premier AmLaw 50 firm is seeking a Public Mergers & Acquisitions Associate Attorney to join its Boston office. This opportunity is ideal for an attorney interested in representing public companies, private equity sponsors, boards of directors, and strategic acquirers in sophisticated public company mergers and acquisitions and related securities matters.

Requirements

  • 3–6 years of sophisticated corporate transactional experience gained at a national or international law firm
  • Significant experience handling public company mergers and acquisitions, including both buy-side and sell-side transactions
  • Experience advising public companies, boards of directors, special committees, strategic buyers, and sellers throughout the M&A process
  • Strong understanding of federal securities laws, SEC reporting obligations, corporate governance, and public company compliance
  • Experience drafting and negotiating merger agreements, purchase agreements, disclosure schedules, transaction documents, board materials, and ancillary agreements
  • Experience conducting legal due diligence, managing transaction closings, and coordinating multidisciplinary deal teams
  • Strong drafting, negotiation, analytical, and client counseling skills
  • Ability to independently manage substantial portions of sophisticated transactions while collaborating effectively on larger deal teams
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Massachusetts bar admission required or ability to become admitted

  • Experience representing technology, life sciences, financial services, and/or real estate companies is preferred
