About The Position

A premier global law firm is seeking a Corporate Mergers & Acquisitions Associate Attorney to join its Houston office. This opportunity is ideal for an attorney interested in representing public and private companies, private equity sponsors, portfolio companies, and strategic investors in sophisticated domestic and cross-border M&A transactions.

Requirements

3–6 years of corporate transactional or mergers & acquisitions experience gained at a sophisticated law firm.
Experience representing public companies, privately held companies, private equity sponsors, portfolio companies, strategic buyers and sellers, and institutional investors.
Strong drafting, negotiation, analytical, organizational, and communication skills.
Ability to independently manage sophisticated transactions while maintaining significant client interaction.
Excellent academic credentials.
J.D. from an ABA-accredited law school required.
Texas bar admission required or ability to become admitted.

Nice To Haves

Experience with private equity transactions, cross-border transactions, or energy-related M&A is a plus.

Responsibilities

Representing public and private companies, private equity sponsors, portfolio companies, and strategic investors in sophisticated domestic and cross-border M&A transactions.
Handling mergers & acquisitions, asset purchases, stock purchases, divestitures, joint ventures, corporate reorganizations, and strategic investments.
Drafting and negotiating purchase agreements, merger agreements, joint venture agreements, shareholder agreements, operating agreements, disclosure schedules, and other corporate transaction documents.
Conducting legal due diligence.
Managing transaction workstreams.
Coordinating multidisciplinary deal teams through closing.
Advising clients regarding corporate governance and general corporate matters.
