About The Position

A highly respected national law firm is seeking a Mergers & Acquisitions Associate Attorney to join its Chicago office. This opportunity is ideal for an attorney interested in representing public and private companies, private equity sponsors, and strategic investors in sophisticated domestic and cross-border transactions.

Requirements

  • 3–6 years of mergers & acquisitions or corporate transactional experience gained at a sophisticated law firm
  • Experience representing public companies, privately held companies, private equity sponsors, portfolio companies, and strategic buyers and sellers
  • Experience drafting and negotiating purchase agreements, merger agreements, disclosure schedules, shareholder agreements, operating agreements, and related transaction documentation
  • Experience conducting and managing legal due diligence and coordinating transactions from letter of intent through closing
  • Experience advising clients regarding corporate governance, entity formation, and general corporate matters
  • Strong drafting, negotiation, analytical, organizational, and communication skills
  • Ability to independently manage sophisticated transactions while maintaining significant client interaction
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Illinois bar admission required or ability to become admitted

Responsibilities

  • Representing public and private companies, private equity sponsors, and strategic investors in sophisticated domestic and cross-border transactions.
  • Handling mergers, acquisitions, dispositions, joint ventures, recapitalizations, and other strategic corporate transactions.
  • Drafting and negotiating purchase agreements, merger agreements, disclosure schedules, shareholder agreements, operating agreements, and related transaction documentation.
  • Conducting and managing legal due diligence and coordinating transactions from letter of intent through closing.
  • Advising clients regarding corporate governance, entity formation, and general corporate matters.
