About The Position

A premier global law firm is seeking a Project Finance & Mergers & Acquisitions Associate Attorney to join its Atlanta office. This opportunity is ideal for an attorney interested in representing developers, sponsors, lenders, investors, utilities, and infrastructure companies in sophisticated project development, project finance, and M&A transactions.

Requirements

  • 3+ years of project finance, infrastructure, energy, mergers & acquisitions, or corporate transactional experience gained at a sophisticated law firm.
  • Experience representing developers, sponsors, lenders, investors, utilities, private equity funds, and infrastructure companies.
  • Experience handling project finance transactions, acquisitions, dispositions, joint ventures, and strategic investments.
  • Experience drafting and negotiating purchase agreements, financing documents, credit agreements, joint venture agreements, development agreements, and other complex transaction documents.
  • Experience managing transactions from due diligence through closing.
  • Strong drafting, negotiation, analytical, organizational, and communication skills.
  • Ability to independently manage sophisticated transactions while maintaining significant client interaction.
  • Excellent academic credentials.
  • J.D. from an ABA-accredited law school required.
  • Georgia bar admission required or ability to become admitted.

Nice To Haves

  • Experience with renewable energy, conventional energy, infrastructure, transportation, utilities, or large-scale development projects is preferred.

Responsibilities

  • Represent developers, sponsors, lenders, investors, utilities, and infrastructure companies in sophisticated project development, project finance, and M&A transactions.
  • Handle project finance transactions, acquisitions, dispositions, joint ventures, and strategic investments.
  • Draft and negotiate purchase agreements, financing documents, credit agreements, joint venture agreements, development agreements, and other complex transaction documents.
  • Manage transactions from due diligence through closing.
  • Engage in significant client interaction and deal responsibility.
  • Participate in a collaborative AmLaw 100 environment.

Benefits

  • Compensation $235,000 – $390,000+
