About The Position

A premier national law firm is seeking a Renewable Energy Finance & Mergers & Acquisitions Associate Attorney to join its Houston office. This opportunity is ideal for an attorney interested in representing developers, sponsors, tax equity investors, lenders, infrastructure funds, and strategic investors in sophisticated renewable energy financing and M&A transactions.

Requirements

  • 3–6 years of renewable energy, project finance, corporate, or M&A experience gained at a sophisticated law firm
  • Experience representing developers, sponsors, tax equity investors, tax credit buyers, lenders, infrastructure funds, and strategic investors
  • Experience supporting the development, construction, financing, acquisition, and disposition of renewable energy and energy infrastructure projects
  • Experience structuring and negotiating tax equity financings, tax credit transfer transactions, joint ventures, preferred equity investments, and other project-level capital arrangements
  • Experience advising clients regarding renewable energy tax credit monetization strategies, including transactions involving solar, wind, battery energy storage, clean hydrogen, and other energy transition technologies
  • Experience handling mergers, acquisitions, divestitures, and strategic corporate transactions
  • Experience drafting and negotiating purchase agreements, joint venture agreements, financing documents, tax equity documents, and related transaction agreements
  • Experience conducting legal due diligence and managing sophisticated transactions from signing through closing
  • Strong drafting, negotiation, analytical, organizational, and communication skills
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Texas bar admission required or ability to become admitted

Responsibilities

  • Representing developers, sponsors, tax equity investors, lenders, infrastructure funds, and strategic investors in sophisticated renewable energy financing and M&A transactions.
  • Supporting the development, construction, financing, acquisition, and disposition of renewable energy and energy infrastructure projects.
  • Structuring and negotiating tax equity financings, tax credit transfer transactions, joint ventures, preferred equity investments, and other project-level capital arrangements.
  • Advising clients regarding renewable energy tax credit monetization strategies, including transactions involving solar, wind, battery energy storage, clean hydrogen, and other energy transition technologies.
  • Handling mergers, acquisitions, divestitures, and strategic corporate transactions.
  • Drafting and negotiating purchase agreements, joint venture agreements, financing documents, tax equity documents, and related transaction agreements.
  • Conducting legal due diligence and managing sophisticated transactions from signing through closing.
