What we are looking for: We are looking for a corporate paralegal with 4 to 12 years’ experience to join our legal team. Candidates who want to work in a dynamic and entrepreneurial environment, who wish to learn and develop new skills and have a wide range of responsibilities should apply. This position will be based at our downtown Montréal, Québec headquarters.

Requirements

  • Paralegal diploma and 4-12 years relevant work experience.
  • Experience in managing corporate and/or security filings.
  • Comfortable with legal corporate terminology and documentation (e.g., drafting corporate resolutions, etc.).
  • Strong communicator in both French and English (written and spoken).
  • Excellent organizational skills.

Nice To Haves

  • Experience in a large law firm or with a reporting issuer is considered an asset.

Responsibilities

  • Drafting corporate documents such as loan agreements, resolutions, dividend materials and other legal documents.
  • Assisting the Corporate Secretary with the preparation of Board and committee materials.
  • Maintaining the registers and minute books for various entities.
  • Coordinating the process of signing legal documents by authorized signatories of the company.
  • Completing the corporate filings for various entities in all Canadian jurisdictions (such as annual fillings, extra-provincial filings and notices of change).
  • Completing/coordinating securities filings (such as SEDI fillings, TSX filings, SEDAR+ filings, etc…) and prepare documents required by securities regulators.
  • Coordinating the incorporation, registration and/or dissolution and cancellation of legal entities.
  • Supporting corporate transactions, including assisting with the preparation of corporate documents.
