About The Position

SentinelOne is hiring an experienced technology transactions attorney for a hands-on role on a newly created legal team focused on the company’s most strategic and complex commercial transactions. The Senior Counsel will own strategic partnership transactions, provide commercial legal support for strategic initiatives, and support commercial M&A diligence and integration. The role owns deals end to end, partners with the Legal Director, Strategic Deals on significant negotiations, and helps build the playbooks and processes for the new function. The Senior Counsel works closely with Business Development, Technology Partnerships, Product, Engineering, Finance, and Corporate Development, and coordinates with commercial, product/IP/AI, privacy, security, and procurement legal teams. The position calls for practical, business-focused advice and the ability to negotiate complex agreements and communicate legal issues in clear business terms.

Requirements

Juris Doctor (JD) from an accredited U.S. law school or equivalent, with an active license to practice law in a U.S. state.
At least 8 years of legal experience focused on technology transactions, ideally combining top-tier law firm and in-house experience at a technology company.
Strong working knowledge of IP licensing and complex technology agreements, including OEM, strategic alliance, and SaaS agreements.
Fluency with AI tools and a track record of using them to work faster and smarter in drafting, contract review, diligence, or knowledge management.
Ability to independently negotiate complex agreements with sophisticated counterparties.
Business judgment and commercial instinct, including an understanding of the business behind a deal.
Excellent written and verbal communication skills, including the ability to explain complex legal issues in plain business terms.

Nice To Haves

Cybersecurity and/or enterprise SaaS industry experience.
Channel, OEM, and MSSP/service-provider program experience.
Experience with terms for agentic or autonomous AI products, including training data, output rights, and liability allocation.
M&A experience, particularly commercial diligence and post-close contract integration; this is a plus, not required.

Responsibilities

Draft, review, and negotiate complex strategic partnership agreements, including OEM, technology licensing, and alliance agreements; own deals end to end and support the Legal Director on the largest transactions.
Negotiate intellectual property ownership, license scope, data rights, and AI terms.
Work with Product and go-to-market teams on new offerings and translate them into clear customer and partner terms.
Conduct commercial contract diligence on acquisition targets, identify material risks in customer, partner, and IP agreements, and support post-close contract integration and assignment workstreams.
Provide practical, business-focused advice to deal teams, identify material risks, and escalate them with a clear recommendation.
Help build templates, playbooks, and processes to support the growth of the function.
Coordinate with commercial, product/IP/AI, privacy, security, and procurement legal colleagues to promote consistent company-wide positions on strategic deals.
