The incoming Mid-Level Associate will function as a vital operative within the firm’s elite corporate finance cohort, driving complex transactional matters from preliminary structuring through to successful closing. Requirements

Juris Doctor (J.D.) from an ABA-accredited law school coupled with distinguished academic credentials.
Active Bar Membership and in good standing in either New York (NY) or the District of Columbia (D.C.).
Three (3) to Five (5) Years of substantive, direct experience managing corporate transactions at a respected midsize or large law firm.
Demonstrated proficiency in navigating at least one, if not multiple, of the following areas: M&A, Capital Markets, Real Estate Transactions, or SPACs.
Exceptional analytical reasoning, rigorous attention to detail, and masterful written and verbal communication abilities.

Responsibilities

Structuring and executing sophisticated Mergers and Acquisitions (M&A) for a diverse portfolio of middle-market and enterprise-level entities.
Advising corporate clients and underwriters on intricate Capital Markets transactions, including high-stakes debt and equity offerings.
Facilitating the formation, public offering, and subsequent business combinations of Special Purpose Acquisition Companies (SPACs).
Guiding complex real estate transactions and related corporate financing initiatives to ensure alignment with overarching commercial goals.
Drafting, reviewing, and meticulously negotiating a broad spectrum of transaction documents, offering memorandums, and corporate governance materials.
