About The Position

A premier national law firm is seeking a Renewable Energy Tax Associate Attorney to join its Houston office. This opportunity is ideal for an attorney interested in advising developers, sponsors, tax equity investors, lenders, private equity funds, and strategic investors on sophisticated renewable energy tax and transactional matters.

Requirements

  • 2–6 years of transactional tax, renewable energy tax, or corporate tax experience gained at a sophisticated law firm
  • Experience advising clients on renewable energy tax incentives and federal tax credit qualification under Internal Revenue Code Sections 45 and 48
  • Experience with beginning-of-construction rules, prevailing wage and apprenticeship requirements, tax credit eligibility, and related IRS guidance
  • Experience supporting tax equity financings, tax credit transfer transactions, mergers & acquisitions, joint ventures, and other renewable energy investments
  • Experience advising developers, sponsors, tax equity investors, lenders, and tax credit purchasers on sophisticated transactional tax matters
  • Experience drafting and reviewing transaction documents, tax provisions, tax opinions, and due diligence materials
  • Strong analytical, drafting, research, and communication skills
  • Ability to independently manage sophisticated matters while working closely with multidisciplinary transaction teams
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Texas bar admission required or ability to become admitted

Nice To Haves

  • Experience with solar, wind, battery energy storage, clean hydrogen, carbon capture, or other energy transition projects is preferred
  • LL.M. in Taxation is a plus, but not required

Responsibilities

  • Advising developers, sponsors, tax equity investors, lenders, private equity funds, and strategic investors on sophisticated renewable energy tax and transactional matters.
  • Advising clients on renewable energy tax incentives and federal tax credit qualification under Internal Revenue Code Sections 45 and 48.
  • Advising on beginning-of-construction rules, prevailing wage and apprenticeship requirements, tax credit eligibility, and related IRS guidance.
  • Supporting tax equity financings, tax credit transfer transactions, mergers & acquisitions, joint ventures, and other renewable energy investments.
  • Advising developers, sponsors, tax equity investors, lenders, and tax credit purchasers on sophisticated transactional tax matters.
  • Drafting and reviewing transaction documents, tax provisions, tax opinions, and due diligence materials.
  • Working closely with multidisciplinary transaction teams.
