About The Position

A premier international law firm is seeking a Tax Associate Attorney to join its Dallas office. This opportunity is ideal for an attorney interested in advising public and private companies, private equity sponsors, investment funds, and other sophisticated clients on complex domestic and cross-border tax matters.

Requirements

  • J.D. from an ABA-accredited law school required.
  • Texas bar admission required or ability to become admitted.
  • Experience handling federal income tax matters gained at a sophisticated law firm.
  • Experience advising clients in connection with mergers & acquisitions, private equity transactions, investment funds, financings, and other corporate transactions.
  • Experience structuring and negotiating transactions to achieve tax-efficient outcomes.
  • Experience drafting and reviewing transaction documents relating to tax matters, including tax provisions in purchase agreements and related ancillary agreements.
  • Strong analytical, research, drafting, and communication skills.
  • Ability to manage sophisticated matters while working directly with clients and transaction teams.
  • Excellent academic credentials.

Nice To Haves

  • Experience advising clients on partnership, corporate, and pass-through entity taxation is preferred.
  • Experience with cross-border transactions, capital markets, and tax controversy matters is a plus.
  • An LL.M. in Taxation is preferred, but not required.

Responsibilities

  • Advising public and private companies, private equity sponsors, investment funds, and other sophisticated clients on complex domestic and cross-border tax matters.
