About The Position

The Orlando office of Dean Mead is seeking a Real Estate Finance Attorney with 3+ years of experience to join its established and growing Real Estate Department. This position will primarily focus on representing banks, financial institutions, and other lenders in commercial real estate lending and finance transactions. This is an excellent opportunity for an attorney who enjoys sophisticated transactional work, direct client interaction, and managing commercial lending matters from due diligence through closing. The attorney will work closely with financial institutions and their lending teams on a variety of real estate/non real estate-secured transactions throughout Florida.

Requirements

  • 3+ years of relevant transactional legal experience.
  • Experience with commercial real estate lending, finance, or secured transactions, with lender-side representation strongly preferred.
  • Experience drafting and negotiating commercial loan and real estate transaction documents.
  • Familiarity with title, survey, and other real estate due diligence.
  • Familiarity with the Uniform Commercial Code.
  • Strong drafting, analytical, organizational, and problem-solving skills.
  • The ability to manage multiple transactions and deadlines while providing responsive client service.
  • Excellent written and verbal communication skills.
  • Strong academic credentials.
  • Admission to practice law in Florida and membership in good standing with The Florida Bar.

Responsibilities

  • Advise and represent lenders in commercial real estate financing transactions, including drafting, reviewing, and negotiating loan agreements, promissory notes, mortgages, lease mortgages, assignments of leases and rents, security agreements, guaranties, and other loan and collateral documents.
  • Manage commercial loan transactions from initial due diligence through closing and post-closing.
  • Review title commitments, surveys, organizational documents, UCC searches, insurance documentation, and other due diligence materials.
  • Identify and address legal and transactional issues that may affect the lender, its collateral, or the closing of a transaction.
  • Work directly with banks, financial institutions, loan officers, relationship managers, borrowers, opposing counsel, title companies, and other transaction professionals.
  • Assist with a variety of financing transactions, which may include acquisition financing, construction and development loans, refinancings, loan modifications and extensions, and other secured lending transactions.
  • Provide practical, responsive counsel to clients throughout the transaction process.
  • Work on other commercial real estate matters, including acquisitions, dispositions, development, leasing, and related transactions.
