About The Position

A premier global law firm is seeking a Private Equity Debt Finance Associate Attorney to join its Philadelphia office. This opportunity is ideal for an attorney interested in representing private equity sponsors, financial institutions, and private credit lenders in sophisticated leveraged finance transactions.

Requirements

  • 3–5 years of debt finance, leveraged finance, banking & finance, or commercial finance experience gained at a sophisticated law firm
  • Experience representing private equity sponsors, banks, direct lenders, and private credit funds in complex financing transactions
  • Experience handling leveraged buyout financings, acquisition financings, recapitalizations, refinancing transactions, and corporate growth financings
  • Experience drafting and negotiating commitment papers, credit agreements, security agreements, guaranties, collateral documents, and other financing documents
  • Experience with term loan facilities, revolving credit facilities, and other secured lending transactions
  • Strong drafting, negotiation, analytical, organizational, and communication skills
  • Ability to independently manage sophisticated financing transactions while maintaining significant client interaction
  • Experience working closely with private equity deal teams and coordinating transaction closings
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Pennsylvania bar admission required or ability to become admitted

Responsibilities

  • Representing private equity sponsors, financial institutions, and private credit lenders in sophisticated leveraged finance transactions.
  • Handling leveraged buyout financings, acquisition financings, recapitalizations, refinancing transactions, and corporate growth financings.
  • Drafting and negotiating commitment papers, credit agreements, security agreements, guaranties, collateral documents, and other financing documents.
  • Managing sophisticated financing transactions while maintaining significant client interaction.
  • Working closely with private equity deal teams and coordinating transaction closings.
