About The Position

This position provides professional legal support by reporting to the Sr. Manager assisting with a wide range of tasks involving transactional/contractual or regulatory support, internal corporate governance, liaison support to Canada and Mexico legal teams, global sourcing business needs such as contract reviews and occasional assistance to attorneys on the team. The tasks more specifically include international subsidiary management, coordinating board meetings, drafting minutes, corporate resolutions and written consents, as well as secretary’s and incumbency certificates, support of corporate structuring and tax/finance/banking transactions, dividend declarations, preparation of transaction binders, review of statutory filings required by various countries and provinces for compliance purposes, management of online international corporate entity database including D&O slates, ownership and related corporate information, including maintenance of the international legal entity organizational chart, and research on international corporate laws relating to establishment of legal entities and branch offices. Legal Specialists will draft legal and business communications, participate in the administration and negotiation of contracts, maintain general file and database management, gather documents and respond to KYC requests, corporate entity requests, assist with regulatory filings, and respond to customer and business legal inquiries by involving the proper legal department.

Requirements

  • Must be eighteen years of age or older.
  • Must be legally permitted to work in the United States.
  • The knowledge, skills and abilities typically acquired through the completion of a associate's degree program or equivalent degree in a field of study related to the job.

Nice To Haves

Responsibilities

  • Conduct legal research/research business problems and provide recommendations as to course of action; respond to clients legal inquiry under the supervision of counsel; review legal documents (e.g., deeds, contracts, subpoenas) to identify key issues
  • Under supervision, draft business/legal communications typically using template forms (e.g., contracts, discovery, regulatory filings, cease/desist letters)
  • General file/database management - maintain complete and accurate electronic and paper files for all assigned matters
  • Gather relevant documents for contract negotiation/drafting, litigation responses, regulatory filings
  • Negotiate settlement of smaller matters (e.g., small-claims litigation, low regulatory fines) or negotiate smaller contracts/ amendments/statements of work
