We assist non-U.S. clients and their U.S. subsidiaries in establishing and expanding operations in the United States. We also assist U.S. companies successfully navigate the laws and regulations of foreign countries through close relationships with a worldwide network of trusted legal advisors and other professionals. Requirements

  • Fluency in Italian (verbally and written).
  • Excellent drafting, research, analytical, critical thinking, reasoning, negotiation, and communication skills.

Responsibilities

  • Provide business-minded general legal counsel and representation to clients in support of their day-to-day operations, in the areas of general corporate, commercial, intellectual property, among others, in collaboration with attorneys from other groups of the Firm.
  • Review, draft and negotiate a wide variety of legal documentation including distribution agreements, sales representation agreements, consulting contracts, public relations services agreements, logistics services agreements, credit applications, intellectual property transfer and license agreements, celebrity endorsement agreements, general terms and conditions of sale, retail policies, stock transfer agreements, and joint venture agreements.
  • Review and revise advertising, marketing, and sales materials for legal related issues.
  • Draft, review, and negotiate corporate documents, including charter documents, by-laws, and corporate minutes. Assist shareholders, directors, and officers in connection with corporate governance matters.
  • Draft memoranda on various aspects of U.S. law.
  • Assist the firm’s Litigation Group with dispute resolution matters, debt collection matters and sensitive customer complaints.
  • Interface with tax advisors, auditors, and foreign lawyers.
  • Delegating work to and reviewing the work of junior attorneys.
