About The Position

A premier global law firm is seeking a Financial Markets Associate Attorney to join its Dallas office. This opportunity is ideal for an attorney interested in representing lenders and borrowers in sophisticated leveraged finance, asset-based lending, and other complex financing transactions.

Requirements

  • 3+ years of finance, banking, leveraged finance, or commercial lending experience gained at a large or sophisticated law firm.
  • Experience representing lenders and borrowers in a broad range of financing transactions.
  • Significant experience handling leveraged finance transactions, secured lending transactions, and asset-based lending facilities.
  • Experience drafting and negotiating credit agreements, security agreements, intercreditor agreements, commitment papers, and related financing documentation.
  • Ability to assume substantial responsibility for transaction structuring, drafting, deal management, and closing processes.
  • Working knowledge of Article 9 of the Uniform Commercial Code and secured lending concepts.
  • Excellent drafting, negotiation, analytical, and communication skills.
  • Ability to work collaboratively in a team-oriented environment while maintaining significant client contact.
  • Desire for substantial client interaction and hands-on transactional experience.
  • Excellent academic credentials.
  • J.D. from an ABA-accredited law school required.
  • Texas bar admission required or ability to become admitted.

Nice To Haves

  • Experience with reserve-based lending (RBL) financings is preferred.

Responsibilities

  • Representing lenders and borrowers in sophisticated leveraged finance, asset-based lending, and other complex financing transactions.
  • Handling leveraged finance transactions, secured lending transactions, and asset-based lending facilities.
  • Drafting and negotiating credit agreements, security agreements, intercreditor agreements, commitment papers, and related financing documentation.
