About The Position

A highly respected national law firm is seeking a Capital Markets Associate Attorney to join its Dallas office. This opportunity is ideal for an attorney interested in representing public companies, private companies, investment banks, and other sophisticated clients in complex capital markets and securities transactions.

Requirements

  • 3+ years of capital markets, securities, or corporate transactional experience gained at a sophisticated law firm
  • Experience representing public companies, private companies, issuers, underwriters, investment banks, and financial institutions
  • Experience handling public and private offerings of equity and debt securities, including IPOs, follow-on offerings, and other capital raising transactions
  • Experience advising clients regarding SEC reporting, Exchange Act compliance, securities law matters, and corporate governance
  • Experience drafting and negotiating registration statements, offering memoranda, underwriting agreements, purchase agreements, and related transaction documentation
  • Strong drafting, negotiation, analytical, organizational, and communication skills
  • Ability to manage sophisticated transactions while working directly with clients and deal teams
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Texas bar admission required or ability to become admitted

Nice To Haves

  • Experience with private equity transactions, mergers & acquisitions, or general corporate matters is preferred

Responsibilities
