About The Position

A premier global law firm is seeking a Capital Markets Associate Attorney to join its Dallas office. This opportunity is ideal for an attorney interested in representing public companies, issuers, and other market participants in sophisticated capital markets transactions and securities matters.

Requirements

  • 3-5 years of capital markets, securities, or corporate transactional experience gained at a sophisticated law firm
  • Experience representing public companies and issuers in public and private securities offerings, including both debt and equity offerings
  • Experience handling registered and private securities offerings, including public offerings, follow-on offerings, and other capital raising transactions
  • Experience advising clients regarding Exchange Act reporting obligations, SEC compliance, disclosures, and corporate governance matters
  • Experience drafting and reviewing registration statements, offering documents, SEC filings, and related transaction documentation
  • Excellent drafting, negotiation, analytical, and communication skills
  • Ability to work collaboratively in a team-oriented environment while assuming significant responsibility
  • Desire for substantial client interaction and hands-on transactional experience
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Texas bar admission required or ability to become admitted

  • Experience counseling boards of directors and management teams regarding public company governance matters is preferred

Responsibilities
