Director of Structured Finance

Cloudflare•San Francisco, CA
•$196,000 - $284,000

About The Position

Cloudflare is seeking a Director of Structured Finance to lead the structuring and execution of financings that support its global network and infrastructure strategy, including servers, GPUs, and data center capacity. The role owns financing workstreams from structuring and counterparty engagement through negotiation, documentation, and close, in close partnership with Infrastructure, Hardware Sourcing, Treasury, Legal, Accounting, Tax, and FP&A. The position also contributes to broader capital markets and capital structure work as the company grows. This is a high-visibility, high-ownership role on a lean team, combining hands-on transaction execution, financial analysis, relationships with the financing community, and strategic decision support for senior leadership and the Board. The role also builds repeatable processes, oversees post-close obligations and relationships, and uses AI-native tools and automation to scale the function.

Requirements

  • 10+ years of experience across structured or project finance, infrastructure investing, private credit, equipment leasing, private equity, investment banking, and/or corporate capital markets.
  • Track record of leading complex financing transactions through close, including direct negotiation and documentation with external counterparties.
  • Ability to run financing workstreams independently and represent the company credibly with senior external counterparties.
  • Deep structuring expertise, such as equipment finance, leasing and sale-leaseback, asset-backed and project finance, vendor financing, and debt or convertible capital markets.
  • Advanced financial modeling, credit analysis, and transaction documentation skills, including familiarity with credit agreements and master lease agreements.
  • Working knowledge of accounting and tax implications of financing structures and ability to partner with Accounting, Tax, and Legal.
  • Exceptional written and verbal communication skills, including the ability to explain complex structures to non-specialist leaders and influence diverse stakeholders.
  • Ability to manage ambiguity, clarify competing priorities, and execute to a high bar in a fast-moving environment.
  • Ability to build credibility with senior internal stakeholders and external counterparties.
  • Fluency with modern AI tools and demonstrated use of them to amplify impact.
  • Sound judgment when handling confidential information, including discretion appropriate for a public company.

Nice To Haves

  • Experience in-house at a high-growth technology or infrastructure company.
  • Background in data centers, digital infrastructure, telecom, cloud, or AI compute.
  • Existing relationships with lenders, lessors, and infrastructure investors.
  • MBA, CFA, or similar qualification.

Responsibilities

  • Lead end-to-end financing workstreams for network and data center infrastructure, including equipment and hardware financing, leasing, vendor financing, and other structured solutions.
  • Translate infrastructure requirements and capital expenditure plans into clear, investable frameworks and materials for lenders, lessors, and other financing counterparties.
  • Represent Cloudflare in external negotiations and make sound decisions on risk allocation, collateral, covenants, and commercial terms.
  • Evaluate lease-versus-buy-versus-finance trade-offs and recommend structures balancing cost of capital, flexibility, and risk.
  • Build repeatable internal frameworks, playbooks, and processes for evaluating, approving, and executing financing transactions.
  • Collaborate with Treasury on capital markets strategy, including debt, convertible, and other structured transactions; analyze capital structure, liquidity, and cost of capital.
  • Develop and maintain relationships with banks, private credit funds, private equity firms, lessors, infrastructure investors, and OEM/vendor finance teams.
  • Monitor market conditions, pricing, and emerging financing structures, and bring ideas to leadership.
  • Build and maintain financial models for transaction structuring, pricing, returns, and capital allocation decisions.
  • Prepare recommendations and materials on complex financing decisions for the CFO, senior leadership, and the Board.
  • Partner with Accounting, Tax, and Legal on accounting treatment, tax implications, disclosure, and documentation.
  • Coordinate with Infrastructure, Sourcing, Treasury, Legal, and leadership to align transaction terms with network build-out plans and company priorities.
