About The Position

Augment is hiring a Director of Legal to lead the legal work behind its revenue-generating investment products. Reporting directly to the Head of Legal, this senior funds and securities lawyer will structure, negotiate, and close complex private-market transactions, set the company’s legal positions, and build legal infrastructure that scales with deal volume. The role spans single-asset and multi-asset SPVs and funds, partnerships, side letters, escrow and settlement arrangements, securities placements, regulatory review, and product counseling. It combines strategic structuring with high-volume execution and offers the opportunity to build and develop a legal team as the company grows.

Requirements

JD from an accredited law school.
Active bar membership in at least one U.S. jurisdiction.
At least 7 years of experience as a practicing attorney, including at least 2 years of funds, securities, or private-markets experience.
Strong foundation at a major law firm and/or in-house at a bank, asset manager, financial services, or fintech company.
Significant experience drafting and negotiating SPV and fund documents, subscription agreements, side letters, and related private-markets transaction documents.
Working command of securities law, Investment Company Act considerations, PTP rules, and broker-dealer and RIA regulatory frameworks.
Excellent drafting skills, strong attention to detail, and commercial judgment.
Ability to manage multiple deals at once and make practical decisions quickly.
Interest in managing and developing other lawyers.

Nice To Haves

New York bar membership is preferred.
Experience supervising outside counsel or building playbooks for high-volume work.
Willingness to obtain securities licenses, such as Series 7, Series 63, Series 65, or Series 24.

Responsibilities

Run single-asset SPV diligence and offering reviews using Augment’s playbooks.
Handle escalations on complex or non-standard deals and determine when a different approach is needed.
Supervise outside diligence counsel and set review standards while managing quality, turnaround, and cost.
Design the structure and template suite for multi-asset funds and lead execution as the product ramps.
Draft and negotiate operating agreements, subscription documents, purchase agreements, and related organizational materials.
Advise on entity formation, governance, and dissolution across investment vehicles.
Track and manage side-letter and investor obligations across the platform.
Structure and negotiate partnership arrangements with platforms, funds, and strategic counterparties.
Lead PTP structuring review for direct investments and indirect investments through lower-tier vehicles, including entity-classification analysis at each layer.
Advise on Securities Act, Investment Company Act, broker-dealer, and RIA considerations affecting deal execution, including Section 4(a)(7) resales, transfer restrictions, and resale eligibility.
Help manage conflict-of-interest disclosures, offering documents, and investor disclosures.
Partner with product, engineering, business development, and operations to launch investment features and structures.
Translate legal risk and structuring considerations into clear, launch-ready guidance for non-lawyers.
Oversee escrow, settlement mechanics, and closing deliverables to ensure transaction flows are legally sound and operationally executable.
Build template libraries, playbooks, and automated workflows to scale legal work with deal volume.
Help grow and develop the legal team.
