Requirements

  • Must pass a criminal background screening.
  • Must pass government exclusion list screening at the time of hire and monthly thereafter.
  • Juris Doctor degree from an accredited law school required.
  • Active membership in good standing with the State Bar of California required. Active membership in another U.S. jurisdiction may be considered where the candidate is eligible to register as California in-house counsel.
  • At least five years of relevant experience in contracts, corporate legal operations, regulatory compliance, insurance claims, healthcare, transportation, or another regulated industry required.
  • Experience reviewing, drafting, and administering commercial contracts and identifying material business and legal risks.
  • Knowledge of compliance program principles, internal controls, investigations, records management, and corrective action processes.
  • Proficiency with Microsoft Office Suite and contract, claims, document management, or compliance tracking systems.

Nice To Haves

  • Healthcare, managed care, Medi-Cal, non-emergency medical transportation, HIPAA, privacy, fraud, waste and abuse, or government contracting experience preferred.
  • Experience with managed care delegation agreements, delegation audits, and corrective action plans strongly preferred.
  • Experience serving as, or directly supporting, a designated Compliance Officer for a delegated entity or government contractor preferred.
  • Experience supporting public sector procurement and responses to government requests for proposals preferred.
  • Working knowledge of insurance claims processes and experience coordinating with brokers, carriers, adjusters, and outside counsel preferred.
  • Ability to analyze complex facts and requirements, exercise sound judgment, and provide practical, business-focused recommendations.
  • Excellent written and verbal communication skills, including the ability to explain legal and compliance concepts in clear, non-technical language.

  • Ability to work independently, collaborate across departments, maintain confidentiality, and appropriately escalate high-risk issues.

Responsibilities

  • Reviews, drafts, and coordinates contracts, amendments, confidentiality agreements, business associate agreements, vendor terms, and other business documents within delegated authority.
  • Maintains an organized contract lifecycle process, including intake, review status, approvals, signature routing, renewal dates, notice requirements, insurance obligations, and retention.
  • Identifies material legal, financial, operational, privacy, insurance, and compliance risks in proposed agreements and communicates recommended revisions to internal stakeholders.
  • Coordinates contract negotiations with business owners, vendors, health plans, brokers, and outside counsel, as appropriate.
  • Supports the intake, documentation, investigation, monitoring, and resolution of insurance claims, including automobile, general liability, professional liability, property, and other covered matters.
  • Serves as a liaison among internal departments, insurance brokers, carriers, third-party administrators, adjusters, and outside counsel; tracks deadlines, requests, reserves, and matter status.
  • Maintains legal and claims files, litigation holds, supporting evidence, correspondence, and privileged or confidential materials in accordance with applicable requirements.
  • Serves as the organization's designated Compliance Officer; administers and maintains the compliance program, including the Code of Conduct, conflict of interest disclosures, annual compliance training, the confidential reporting hotline, and periodic compliance reporting to the Chief Executive Officer and the governing body; and monitors applicable federal, state, contractual, and healthcare requirements affecting non-emergency medical transportation brokerage and fleet operations.
  • Assists with compliance assessments, internal reviews, audits, corrective action plans, regulatory inquiries, and responses to client or government requests.
  • Reviews and assists in developing policies, procedures, forms, training materials, and controls designed to address legal, contractual, privacy, fraud, waste and abuse, and regulatory obligations.
  • Tracks changes in relevant laws, regulations, agency guidance, and contract requirements; evaluates potential business impact and recommends implementation steps.
  • Partners with Operations, Risk and Safety, Human Resources, Finance, Information Technology, and other departments to investigate concerns and implement risk-reduction measures.
  • Supports due diligence and legal or compliance review of vendors, subcontractors, business initiatives, requests for proposals, and organizational changes.
  • Prepares concise written analyses, issue summaries, risk assessments, reports, and presentations for leadership and other stakeholders.
  • Coordinates efficiently with outside counsel and helps manage matter scope, documents, deadlines, and legal spend.
  • Protects confidential, proprietary, personal, health, and legally privileged information and escalates significant concerns promptly.
  • Notifies leadership immediately of injuries, accidents, actual or suspected privacy or HIPAA breaches, compliance violations, legal demands, and unusual incidents.
  • Drafts, negotiates, and administers transportation subcontractor agreements, provider network documents, subcontractor manual provisions, service level and service level credit terms, and related amendments.
  • Supports delegation agreements with health plan clients; prepares for and responds to delegation audits, delegated function oversight reviews, and resulting corrective action plans.
  • Provides legal and compliance support for requests for proposals and public procurement, including terms and conditions review, trade secret and confidentiality designations, California Public Records Act responses, protest and award matters, and post-award contract implementation.
  • Advises on legal limits governing credentialing and driver data, including consumer report restrictions under the Fair Credit Reporting Act and the Investigative Consumer Reporting Agencies Act and Department of Motor Vehicles Employer Pull Notice redisclosure requirements.
  • Monitors transportation regulatory requirements applicable to fleet operations, including CPUC and TCP authority, California Highway Patrol requirements, Department of Transportation drug and alcohol testing program administration, driver qualification files, vehicle permitting, and accessibility obligations.
  • Administers privacy compliance, including HIPAA, the California Confidentiality of Medical Information Act, the California Consumer Privacy Act, business associate agreements, breach assessment and notification, and offshore and nearshore vendor disclosures and attestations required by health plan clients.
  • Conducts legal and compliance review of technology and artificial intelligence vendors, including member-facing automated systems, call recording and consent requirements, data use terms, and security and accountability obligations, in coordination with the Chief Information Security Officer.
  • Oversees exclusion and sanction screening across the organization, the transportation subcontractor network, and drivers, including OIG LEIE, SAM, and Medi-Cal Suspended and Ineligible Provider List checks.
  • Supports fraud, waste, and abuse detection, investigation, reporting, and referral obligations under Medi-Cal and Medicare contracts.
  • Manages responses to subpoenas, third-party records requests, and member record demands.
  • Supports maintenance of NEMTAC accreditation and coordinates legal and compliance input on security assessments, client questionnaires, and client audits.
  • Partners with Human Resources and employment counsel on California wage and hour matters affecting drivers and field staff, including meal and rest period compliance, and on employment claims and internal investigations.
  • Performs all other duties assigned by management.
