We are seeking a strategic, business-minded Director of Legal Affairs to play a central role in a dynamic, globally operating organization undergoing significant transformation and growth. This position sits at the intersection of legal expertise and business execution, serving as a trusted advisor to leadership while ensuring that legal frameworks enable innovation and expansion. The Director of Legal Affairs will lead day-to-day legal operations, partner closely with cross-functional teams, and build scalable processes that support a fast-evolving business environment. This role requires a balance of hands-on legal work, team leadership, and long-term strategic thinking.

Requirements

  • Bachelor of Law degree from a Canadian University with the ability to practice in Quebec (Quebec Bar); ability to practice in another Canadian province or a U.S. State would be an asset
  • 3 to 5 years of legal experience, including significant in-house experience in a global or high-growth environment
  • US and international experience required
  • Corporate transaction experience and general corporate governance experience
  • Strong background in commercial law and contract negotiation.
  • In-depth understanding of the role of an in-house legal counsel in a corporation
  • Fluent French and English (oral & written) required. This person will be involved with all legal matters worldwide for the Company and its affiliates, as well as interact with all Medisca employees in Canada, US, Australia and Europe for this purpose.

Responsibilities

  • Act as the primary legal partner to the business and its affiliates, providing practical, solution-oriented advice on a wide range of commercial and operational matters.
  • Support strategic initiatives, including market expansion, partnerships, and new product launches, ensuring legal risks are identified and managed effectively.
  • Embed legal considerations into business decision-making without slowing momentum.
  • Provide support to potential transactions and strategic partnerships (e.g. acquisitions, investments, joint ventures, licensing), including lead or support due diligence efforts.
  • Lead the negotiation, drafting, and execution of complex commercial agreements, including supply, customer, licensing, contract manufacturing, and R&D agreements, while providing ongoing legal guidance, project management, and lifecycle oversight (including renewals, terminations, and dispute resolution).
  • Establish playbooks and fallback positions to streamline contracting processes and improve efficiency.
  • Balance risk mitigation with commercial objectives in high-stakes negotiations.
  • Mentor and develop an existing team of legal professionals, fostering a culture of collaboration, accountability, and continuous learning.
  • Identify hiring needs and lead the expansion of the legal team to support organizational growth.
  • Build capabilities across the team to handle increasing complexity and global scale.
  • Design and implement robust legal processes, governance frameworks, and internal controls.
  • Drive standardization and scalability across legal operations, including contract management, approval workflows, and documentation practices.
  • Ensure compliance with applicable laws and regulations across multiple jurisdictions.
  • Introduce tools and systems to improve legal team efficiency and visibility into legal workstreams.
  • Collaborate with other functions (e.g., Finance, HR, Risk, Compliance) to align on policies and procedures.
  • Monitor and report on key legal metrics, risks, and initiatives to senior leadership.
  • Keep abreast of upcoming and ongoing legal and regulatory changes in a dynamic and rapidly evolving area of law with multi-jurisdictional differences.
