About The Position

POSITION SUMMARY: The Director, Corporate Services is responsible for leading a team of attorneys and other legal professionals in providing advice and counsel on matters managed by the Legal Department’s Corporate Services team, with an emphasis on corporate transactional, securities and corporate governance matters. PRINCIPAL RESPONSIBILITIES: Manages a team of legal counsel, paralegals and other legal professionals providing legal and professional support to the Company across a broad range of corporate, strategic and legal matters, including M&A transactions, antitrust compliance, joint ventures, securities filings, investments, corporate finance, corporate governance and general corporate matters Supervises the provision of legal support with respect to securities matters, including in connection with current, quarterly and annual reports as well as proxy statements filed with the SEC, Section 16 filings, earnings releases, securities offerings and financing transactions Provides advice and counseling to internal clients, including operations and corporate personnel, regarding other matters within the Corporate Services legal team, including support on business development, sustainability, emerging business, corporate governance, tax, political contribution compliance, and intellectual property matters, among others Drafts and otherwise contributes to reports to the Company’s Chief Legal Officer, senior management and auditors Provides regular coaching and guidance to team, supports career development; manages performance through timely feedback and mid-year and annual review discussions; and provides opportunities for growth Prepares legal budgets and recommend reserves Selects and manages outside counsel and internal legal staff Provides training to management, corporate and field personnel Assists with creating, updating and maintaining agreement templates and policies and procedures associated with the Corporate Services legal team support responsibilities Performs special projects in support of the legal team’s goals and initiatives Works extended hours, as required Overnight travel may be required Performs other job-related duties as assigned or apparent

Requirements

  • Experience working in a large, multi-state corporate or legal environment
  • In-house counsel experience
  • Knowledge of federal, state and local statutes and regulations applicable to publicly traded organizations
  • A proven track record demonstrating the ability to independently make decisions regarding complex legal and corporate issues
  • Outstanding written and oral communications
  • Outstanding organizational and time management skills
  • Strong collaboration skills
  • Excellent judgment
  • High integrity
  • JD; licensed to practice law and in good standing
  • Minimum of 10 years of legal experience on transactional matters, including mergers and acquisitions, securities and corporate governance matters

Responsibilities
