About the Role: We are seeking a detail-oriented Corporate Records Manager & Legal Operations Specialist to own the infrastructure behind our legal function at MARI Group. This is a mid-level operational role at the heart of Legal's ability to scale as MARI's portfolio of entities — 90+ and growing with every deal — expands across jurisdictions. You'll sit within the Legal team, working closely with and reporting directly to the General Counsel, and your work will have direct impact on the integrity of our corporate governance and the day-to-day efficiency of the legal department. The role splits roughly 75/25 between two areas. On the corporate records side, you'll be the primary owner of our entity administration — keeping directors, filings, and governing documents current across every jurisdiction, managing our external compliance and registered agent vendors, maintaining our entity management system, and leading post-acquisition integration as new companies join MARI's governance framework. On the legal operations side, you'll build and run the systems that keep the department itself working: our law firm billing process, our compliance infrastructure, our legal trackers, and our contract repository. This is a hands-on, detail-intensive position for someone who thrives on building systems rather than just maintaining task lists. This is a full-time role. We are ideally seeking individuals based in the greater New York City area, but open to remote employees as well. The total compensation range for this role is $110,000–$130,000, inclusive of base and bonus. Compensation is determined by market data, experience, location, and internal banding. Ranges will be discussed transparently during the interview process. What Success Looks Like: The entity portfolio is fully current — no lapsed filings or missed annual report deadlines across 90+ entities. Post-acquisition entities are integrated into MARI's governance framework on a predictable timeline, with clean records from day one. Law firm billing runs smoothly, and legal trackers (litigation, contracts, DSAR) are trusted as a reliable source of truth by Legal and Finance. What You'll Own: Serve as the internal expert on corporate records — directors, good standing, governing documents, and corporate authorizations — and manage our entity compliance and registered agent vendors to keep filings and the entity management system current across all jurisdictions Maintain minute books, org charts, and the entity structure chart; lead post-acquisition entity integration and support entity-related M&A due diligence Maintain cap tables and equity grant tracking (profits interests, options, RSUs), coordinating with outside counsel on changes requiring legal analysis Develop and manage the company's litigation hold process, administering holds as they arise Own the legal department's tech stack (document management, contract repository, CLM) and its litigation, material contracts, and DSAR trackers Manage law firm billing operations end-to-end — onboarding, matters, accruals, invoice review, and billing guidelines — coordinating with Finance and AP and flagging budget variances to the GC Serve as the department's go-to on legal tech, continuously evaluating and improving the tools and workflows Legal relies on day to day What You Bring: 4–7 years of experience in corporate records management, entity administration, or a specialized corporate paralegal role, with multi-jurisdictional experience across multiple countries and states Demonstrated ability to manage a high volume of entities and deadlines with minimal supervision, including experience with registered agent providers and outside counsel coordination Strong organizational and project management instincts — you build systems, not just task lists — and comfort working directly with Finance and AP on billing and accruals Familiarity with legal technology and AI-enabled tools (entity management, CLM, or matter management platforms); experience in an acquisition-driven or high-volume M&A environment, administering a CLM or e-billing platform, or tracking equity grants and cap tables is a plus. Paralegal certificate or relevant undergraduate degree preferred; JD not required.
