About The Position

A leading international law firm is seeking a Corporate Associate Attorney to join its Seattle office. This opportunity is ideal for an attorney interested in representing innovative technology and life sciences companies throughout their full lifecycle, from incorporation through strategic transactions and exits.

Requirements

  • 4–6 years of corporate transactional experience
  • J.D. from an ABA-accredited law school required
  • Washington bar admission required or ability to become admitted
  • Strong drafting, analytical, negotiation, and communication skills
  • Genuine interest in technology, life sciences, and innovative companies
  • Ability to thrive in a collaborative, dynamic, and fast-paced environment
  • Excellent academic credentials

Nice To Haves

  • Experience representing emerging growth technology and life sciences companies preferred
  • Experience advising companies throughout their lifecycle, from formation through financing, growth, and exit transactions
  • Experience serving as outside general counsel, including day-to-day counseling and direct interaction with management teams
  • Experience negotiating and advising companies and investors in equity financings and strategic transactions
  • Experience drafting and negotiating corporate transaction documents and governance materials

Responsibilities

  • Representing innovative technology and life sciences companies throughout their full lifecycle, from incorporation through strategic transactions and exits.
  • Experience with capital markets, mergers & acquisitions, private equity, venture capital, and/or general corporate matters.
  • Representing emerging growth technology and life sciences companies.
  • Advising companies throughout their lifecycle, from formation through financing, growth, and exit transactions.
  • Serving as outside general counsel, including day-to-day counseling and direct interaction with management teams.
  • Negotiating and advising companies and investors in equity financings and strategic transactions.
  • Drafting and negotiating corporate transaction documents and governance materials.
