About The Position

Harris Beach Murtha seeks an associate-level attorney to join our growing state-wide Corporate Practice Group. The Corporate Associate will have the opportunity to draft, review and negotiate various transactional agreements, shareholders agreements, operating agreements and buy-sell agreements, contracts, financing documents and other corporate documents. They will also structure, negotiate and close mergers and acquisitions, asset and stock purchase and sale transactions and private equity transactions. Additionally, the role involves advising clients on legal issues related to formation, operation and expansion of businesses and succession planning, interacting with clients to service existing work and to grow and maintain relationships, and collaborating with colleagues across various practice groups to provide comprehensive legal support to our clients. The firm requires a minimum of 1800 billable hours annually.

Requirements

  • 3-7+ years’ experience in general corporate, business succession planning, and mergers and acquisitions
  • Admission to New York required
  • Must have Juris Doctorate degree with an ABA accredited law school and be an active member in good standing of the New York State Bar
  • Must have excellent research and writing skills
  • Must be able to effectively communicate orally and in writing
  • Must be able to function effectively in a team-oriented environment
  • Exhibits conscientiousness, dedication, self-discipline, and a sense of responsibility
  • Ability to work with diverse personalities within various levels of the organization
