About The Position

A premier national law firm is seeking a Mid-Level Corporate Associate Attorney to join its Atlanta office. This opportunity is ideal for an attorney interested in representing public and private companies, private equity sponsors, investors, and financial institutions in sophisticated mergers & acquisitions and general corporate transactions.

Requirements

3–6 years of corporate transactional or M&A experience gained at a sophisticated law firm
Experience representing public companies, privately held companies, private equity sponsors, portfolio companies, strategic buyers and sellers, and institutional investors
Strong drafting, negotiation, analytical, organizational, and communication skills
Excellent academic credentials
J.D. from an ABA-accredited law school required
Georgia bar admission required or ability to become admitted

Responsibilities

Representing public and private companies, private equity sponsors, investors, and financial institutions in sophisticated mergers & acquisitions and general corporate transactions.
Handling mergers & acquisitions, joint ventures, corporate reorganizations, equity financings, and other strategic transactions.
Drafting and negotiating purchase agreements, merger agreements, operating agreements, shareholder agreements, governance documents, and other corporate transaction documents.
Conducting legal due diligence, managing transaction workstreams, and coordinating deal teams through closing.
Advising clients regarding corporate governance and general corporate matters.
Independently managing sophisticated transactions while maintaining significant client interaction.
