About The Position

A premier national law firm is seeking a Mid-Level Corporate Associate Attorney to join its Houston office. This opportunity is ideal for an attorney interested in representing public and private companies, private equity sponsors, investors, and financial institutions in sophisticated corporate transactions.

Requirements

  • 3–6 years of corporate transactional or mergers & acquisitions experience gained at a sophisticated law firm
  • Experience representing public companies, privately held companies, private equity sponsors, portfolio companies, strategic buyers and sellers, and institutional investors
  • Strong drafting, negotiation, analytical, organizational, and communication skills
  • Ability to independently manage sophisticated transactions while maintaining significant client interaction
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Texas bar admission required or ability to become admitted

Nice To Haves

  • Experience with private equity transactions, capital markets, or finance matters is a plus

Responsibilities

  • Representing public and private companies, private equity sponsors, investors, and financial institutions in sophisticated corporate transactions.
  • Handling mergers & acquisitions, equity investments, joint ventures, corporate reorganizations, and other strategic transactions.
  • Drafting and negotiating purchase agreements, merger agreements, operating agreements, shareholder agreements, governance documents, and other corporate transaction documents.
  • Conducting legal due diligence, managing transaction workstreams, and coordinating deal teams through closing.
  • Advising clients regarding corporate governance, commercial agreements, and general corporate matters.
