About The Position

Yext is seeking a dedicated, business-oriented Commercial Counsel to join its Legal team. The position partners with Enterprise, Mid-Market, and Partner (indirect) sales teams to handle, negotiate, and implement customer deals, and works with business lines on vendor and procurement transactions. It can be based in the New York area (preferred) or Washington, D.C., with a flexible/hybrid work arrangement.

Requirements

• 3–5 years of corporate and/or commercial experience at a leading law firm, in-house, or a combination of the two.
• Strong contract drafting and negotiation skills.
• Prior experience with commercial agreements.
• Experience working through data privacy and security issues in SaaS or commercial transactions, including matters such as GDPR, CCPA, and CPRA.
• Flexibility and eagerness to work hard in a fast-paced environment and meet tight deadlines.
• Highly organized, process-driven, and client-focused teammate.
• Law degree from an accredited U.S. law school and a license to practice law.

Nice To Haves

• Experience with SaaS, content distribution, and general commercial agreements within the technology industry is strongly preferred.
• French, German, Italian, or Spanish language skills are a plus.

Responsibilities

• Draft, review, and negotiate commercial agreements, primarily SaaS subscription agreements, across Enterprise, Mid-Market, and Partner (indirect) businesses.
• Improve and maintain standard commercial agreements, contract negotiation playbooks, and legal processes to support global scale.
• Work proactively with internal clients to improve and scale the sales contract negotiation process.
• Conduct periodic employee training on these topics.
